How to ratio the y component of two curves using an exponential fit?

Hi,
I'm pretty new to Matlab and need help with the following:
I have two curves (Data1 and Data2, attached) that are slightly different in terms of their y-component. I want to correct for this difference by ratioing the two curves to each other using an exponential fit and outputting scaling factor for the two curves.
Any help is much appreciated!

What exponential fit? I can think of a wide variety of things you might want to try, but just saying an "exponential fit" tells me nothing.

I apologize for not being more specific, but I'm not entirely sure of the type of fit. Looking at the two curves it seemed like a "non-linear" fit was best for the data.
While the magnitudes of the two curves are similar, they are not exactly the same; So what I'm looking to do is generate a simple scaling factor between the Data1 and Data2 cases in terms of y-component magnitude.

I don't think your data are slightly different in terms of their y-component. They look very different in both x and y components. It won't be enough to correct their difference with a single scaling factor.
